The document set

Four documents, one chain.

NDA before we look at anything. MSA once. A Statement of Work per engagement. An invoice per milestone.

Master Services Agreement (MSA)

The umbrella commercial agreement signed once per client. It sets the legal, commercial and liability framework so every later Statement of Work can be short and practical.

When it is used: Signed before the first paid engagement, then referenced by every subsequent SOW.

Statement of Work (SOW)

The engagement-specific document. It states exactly what will be delivered, by when, for how much, on what assumptions, and how completion is judged.

When it is used: One per assessment, implementation, automation build, migration or managed-services term.

Mutual Non-Disclosure Agreement (NDA)

Protects both sides during early conversations, discovery workshops and system reviews, before any paid work starts.

When it is used: Signed before a discovery session, system access review or any exchange of commercially sensitive material.

Invoice Template

A consistent invoice layout that matches SOW milestones so revenue, CRM opportunity value and accounting records reconcile.

When it is used: Issued at each milestone, monthly for time-and-materials, and monthly in advance for managed services.

How the paperwork sequences

Signature order matters more than length.

  • Change request whenever scope, dates or assumptions move
  • Invoice at each milestone, referencing the SOW and CRM opportunity

Have a qualified legal adviser review the MSA, SOW and NDA, and an accountant confirm the invoice and VAT treatment, before you issue any of them to a client.
