1. Parties and purpose
Between Pitron Tech Ltd, [Company registration number], [registered address], and [Client legal name], [address]. Each party may act as discloser and recipient.
Purpose: to evaluate a potential or ongoing engagement covering business systems, CRM, automation, integration, data and support services.
2. Confidential information
Any non-public information disclosed in any form, including commercial terms, pricing, customer data, system configuration, credentials, architecture, roadmaps, processes and personal data.
Excluded: information already public, independently developed, lawfully received from a third party, or required to be disclosed by law or regulator (with prior notice where permitted).
3. Obligations
Use confidential information only for the Purpose.
Disclose only to personnel and advisers who need it and are bound by equivalent obligations.
Apply at least the same care as for the recipient's own confidential information, and no less than reasonable care.
Do not copy credentials into unsecured channels; do not extract production personal data without written instruction.
4. Term and return
Obligations last [3] years from disclosure, and indefinitely for trade secrets and personal data.
On written request, the recipient returns or securely deletes confidential information, retaining copies only where legally required.
5. No licence, no obligation
Nothing grants intellectual property rights or obliges either party to enter into a commercial agreement.
6. Remedies and law
Breach may cause harm for which damages are inadequate, so injunctive relief is available.
Governed by the laws of [England and Wales] with exclusive jurisdiction there.
